Privacy Policy

This is the Privacy Policy for Bookio (“Privacy Policy”). When you use our apps and services, including, you’re trusting us with your information. We understand this is a big responsibility and we work hard to protect your information and put you in control. This Privacy Policy explains how and why we collect and use personal information, and what we do to ensure it is kept private and secure and in compliance with the applicable laws.

This Privacy Policy is meant to help you understand what information we collect, why we collect it, and how you can update, manage, export, and delete your information. For the purposes of data protection law, we will be a controller of the personal information we hold about you. This means we make decisions about how and why your information is used, and have a legal duty to make sure that your rights are protected when we use it.

1. Definitions

When we use a capitalised term in this Privacy Policy, it will have the meaning given to it in the table below:

“End User” means an individual using any of our Apps;

“Bookio” means PurdieMedia Ltd, a company incorporated under the Registrar of Companies of Scotland;

“Partner” means a business owner who uses the Bookio app to make bookings and engage with customers;

“Privacy Policy” means this Privacy Policy which may be amended from time-to-time;

“Services” means any of the services we provide to Partners or individuals through our Apps and Websites;

“Websites” means, including all subdirectories, subdomains, and mobile sites thereof.

2. Who should read this Privacy Policy?

This Privacy Policy will apply to you if you are any of the following:

a Partner on the Bookio platform;

an End User; or

a visitor to any of our Websites.

By accessing or using the Services or any of our Websites, you agree to the terms of this Privacy Policy. If we make any significant changes to this Privacy Policy, we will notify you through email or directly through our Apps and Websites.

3. The Personal Information We Collect

We collect personal information (meaning anything that could identify you either by itself, or when combined with other information we are able to gain access to), as described below. When you use our Services, we collect information that your browser sends to us that is called log data, which may include information such as your computer's Internet Protocol (“IP”) address, browser version, pages of our Service that you visit, the time and date of your visit, the time spent on those pages, and other statistics. You can always choose not to provide us with your personal information, but it may mean that we are unable to provide you with the Service you have requested.

Information you provide to us when creating an account

When you create an account using either of our Apps or Websites, you provide us with personal information, including your name, e-mail address, postal address, a password, the name of your business (if you are a Partner) and your phone number (if your device has one). If you give us permission to do so, we may also collect information about your social media presence, including your usernames.

Information we collect as you use our Services

Apps and Browsers

We collect information about your device when you download and install one of our Apps, and about your browser when you visit either of our Websites.

The information we collect includes:

how you found our Website: including but not limited to whether you discovered us through a search engine, a partner website, an ad campaign, or email campaign;

technical information: your IP address, device type, language and region settings, and other details about how you interact with our Apps and Website; and

location information: if you have activated one of our Apps and permitted your mobile or other location-aware device to transmit location data, we will collect this automatically. This may include country, province, city, or neighbourhood information.

When Using Our Services

We collect personal information when you use our Services. This may include:

areas of interest: including the types of Merchant offerings that interest you;

referrals: information about friends who referred you, or who you have referred to Bookio;

correspondence: copies of correspondence, text, email and other communications you have with us or with Merchants via the Apps;

participation: we will collect and retain the comments you make to the forums, bulletin boards, discussion groups, chat rooms, reviews, or other methods of communication that may be offered on or through our marketplace from time to time, including those you make on our social media pages;

transaction details: information about how you interact with the Bookio app, such as Partner offerings you view, purchase, redeem, and/or post, and the Partners you add to your favourites page; and

financial account information: we collect minimal financial information as needed for our payment processing partners in order to provide payments functionality to our Partners (such as your credit or debit card number, expiration date, and card verification number).

For Partners

If you are a Partner, we will collect the following details about you:

bank details: in order to submit payments to you, we need to collect your bank account and sort code;

business related information: your business name, a description of your business, titles, names, and bios of your staff members;

availability and scheduling information: information about your business calendars and staff availability from your Bookio account;

social media information: information from your Facebook page, Twitter feed, LinkedIn profile, Yelp ratings and additional publicly available data; and

customer information: where you upload your customer database to our servers, we will retain the personal information it contains subject to our Data Retention Policy in Section 8.

Third Parties

We may receive personal information about you from other sources with which you have registered, Merchants, business partners, affiliate entities (collectively, "Partners"), or other third parties. For example, if an End User creates an account on Bookio through one of our registration partners, such as Google or Facebook, we may collect personal information from those websites. We may associate this information with the other personal information we have collected about you.

Information About Others

Through your use of the Services, we may also collect information from you about someone else. If you provide Bookio with personal information about someone else, you must ensure that you are authorised to disclose that information to Bookio and that, without Bookio taking any further steps required by applicable data protection or privacy laws, Bookio may collect, use and disclose such information for the purposes described in this Policy. See Section 3 for more about referrals. If Bookio has been given personal information about you by another user and you would not like us to retain it, please contact us using the details given in Section 2 above, and we will delete it.

4. Cookies, Pixel Tags and Other Web Beacons

A cookie is a small file of letters and numbers that we store on your browser or device if you agree. Pixel tags and web beacons are tiny graphic images placed on website pages or in our emails that allow us to determine whether you have performed specific actions. When you access these pages or open email messages, the pixel tags and web beacons generate a notice of that action to us or our service providers. These tools allow us to measure response to our communications and improve our web pages and promotions.

We use the following types of cookies:

Strictly necessary cookies. These are cookies that are required for the operation of our Websites. They include, for example, cookies that enable you to log into secure areas of our Websites.

Analytical/performance cookies. These cookies allow us to recognise and count the number of visitors and to see how visitors move around our Websites. This helps us to improve the way they work, for example, by ensuring that users are finding what they are looking for easily. We use these to remember who you are and keep track of your preferences, e.g. the cities for which you want to be shown Partner offerings. We may also collect information about the website you were visiting before you landed on one of our own, and the website you visit after you leave our own, if this information is supplied to us by your browser.

Targeting and Remarketing Cookies from Third-party Advertising Networks. Bookio has relationships with third party advertising companies to place advertisements on our behalf onto other websites, and to perform tracking and reporting functions for our platform and our advertisements. These third parties may place cookies on your device which automatically collect information about your visit to one of our Websites, your IP address, your ISP and the browser you use. Information collected may be used, among other things, to deliver advertising targeted to your interests and to better understand the usage and visitation patterns of our platform and Websites. You can learn more about this type of remarketing below.

Remarketing Cookies

You may notice that sometimes, after visiting a website, you see increased numbers of adverts from the site you visited. That’s because the website you visited has placed a cookie on your web browser. Using that cookie and web analytics tools, the website owner will be able to show you adverts on third-party websites that they think you might be interested in. This cookie does not give access to your computer or mobile device, but may be able to identify you from other details.

Google Analytics

Our Websites use Google Analytics to show relevant adverts to users who have previously visited us as they browse the web. This enables us to tailor our marketing to better suit your needs and only display ads that are relevant to you. You may see Bookio or one of our Partners in search results pages (using Google Adwords), on YouTube, in banner adverts on Gmail and on other services run by Google.

Any information collected will be used in accordance with our own privacy policy and Google’s privacy policy. If you do not wish to see ads, you can:

Facebook Remarketing

We also use similar targeted advertising technology to ensure that we only serve people with adverts on their Facebook pages that are relevant to them. To enable us to do this, we include a piece of code on our websites, called the Facebook Pixel. The information collected, for example which pages you visited, which device you used and what actions you took, will be used in accordance with our own privacy policy, as well as Facebook’s privacy policies. The Facebook Pixel only lasts for sixty (60) days. Using the Facebook Pixel, we can also remarket adverts to you through Instagram, which is owned by Facebook. You can set preferences for how Facebook advertises to you using your Facebook ad preferences.

Opting Out of Cookies

You can refuse to accept some or all cookies by modifying settings within your browser. For guidance on how to do this, please visit However, if you block strictly necessary cookies, you may be unable to access certain parts of our Websites. 5. How We Use Your Personal Information

We will only use your personal information when the law allows us to. Most commonly, we will use your personal information in the following circumstances:

where we need to perform a contract with you (e.g. to create an appointment or to process a payment);

where it is necessary for our legitimate interests (or those of a third party) and your interests and fundamental rights do not override those interests (see the "Legitimate Interests" section below); and

where we need to comply with a legal or regulatory obligation.

We may use personal information held about you in order to:

provide you with offers for products and services from participating Partners, including offers based on variables such as stated and anticipated customer interests, personal characteristics, or location;

recommend certain Partners offerings to you (e.g., to suggest Partners to add to your favourites page or remind you when it's time to rebook a service);

facilitate and fulfil requests for appointments for Partner offerings, including their purchase and redemption;

evaluate eligibility of customers for certain offers, products or services, and evaluate the types of offers, products or services that may be of interest to End users;

track redemption of Partner offerings and perform other analytics;

improve our Services, including performing analysis, tracking your use of the Services for the purposes of displaying advertising and content;

provide customer support, including to our Partners or business partners;

communicate and provide additional information that may be of interest to you or Partner clients about Bookio and our Partners and business partners, such as Bookio news, special offers and coupons, announcements, and marketing materials;

send you reminders, technical notices, updates, security alerts and support and administrative messages;

provide advertisements to you through the Services, email messages, text messages, applications, push notifications, or other methods of communication;

administer surveys, sweepstakes, contests, or other promotional activities or events sponsored by us or our partners;

manage our everyday business needs such as administration of the Services, forum management, fulfilment, analytics, fraud prevention, enforcement of our corporate reporting obligations, terms of use, or to comply with the law.

Your information will be treated in accordance with applicable data protection law.

6. Legitimate Interests

We may rely on legitimate interests to process your personal information, provided that your interests do not override our own. Where we rely on legitimate interests, these interests are:

providing, maintaining, and improving the Services to meet the needs of our End Users and Partners;

understanding how the Services are used to improve their performance in the future;

customising the Services to provide you with a better user experience;

marketing to inform End Users and Partners about other Services we offer that might benefit or interest them;

providing advertising;

detecting, preventing, or otherwise addressing fraud, abuse, security, or technical issues with our services; and

enforcing legal claims.

7. Keeping Your Personal Information Safe

We employ a variety of physical and technical measures to keep your personal information safe and to prevent unauthorised access to, use or disclosure of it. Databases are stored on secure servers and we control who has access to them (using both physical and electronic means).

Where we have given you (or where you have chosen) a password which enables you to access our Services, you are responsible for keeping this password confidential. We ask you not to share a password with anyone. We cannot absolutely guarantee the security of the internet, external networks, or your own device, accordingly any online communications (e.g. information provided by e-mail, through our Website or our Apps) are at your own risk.

8. Storage and Retention

Where we store your personal information

We are a company in the United Kingdom. Where possible, our data is hosted and stored within the European Economic Area or with partners protected by Privacy Shield agreements. When necessary, the information that we collect from you may be transferred to, and stored at, a destination outside the United Kingdom and the European Economic Area (“EEA”), and may also be processed by staff operating outside the United Kingdom or the EEA who work for us or for one of our partners. Whenever data is transferred outside of the UK or EEA, we will take all steps reasonably necessary to ensure that any transferred personal information is treated securely and in accordance with applicable data protection laws.

Data Retention

Bookio will store personal data as long as Partner accounts continue to use our software, and for a period of not more than 24 months thereafter. Users may elect to have their data removed from Bookio either by contacting the Partner directly or by contacting users on In the case that a Partner explicitly indicates their intention to cease to use our software and have their data deleted, personally identifiable information stored with their account shall be encrypted and/or removed. Other information related to activity on the Apps will be retained for reporting and analytical purposes, or other purposes at set forth in Section 9.

9. Disclosing Your Personal Information

Except as otherwise stated in this Privacy Policy, we do not sell, trade, rent, or otherwise share the personal information that we collect with third parties, unless you ask or authorise us to do so. However, there are occasions where we may need to disclose your personal information. Where we do so, any such disclosure will be on the basis that these third parties are required to keep the information we give them confidential and secure, and will not use it for any other purpose than to carry out the services they are performing for us. We may disclose personal information as follows:

to affiliated companies (e.g., subsidiaries and other companies owned by or controlled by Bookio );

to service providers that are hired by us to provide administrative and communication services on our behalf, such as website hosting, the processing and delivery of mailings, providing customer support, or providing credit card processing services;

to Partners where you have purchased services from a Partner through Bookio, or participated in an offer, contest or other activity sponsored or offered through Bookio on behalf of the Partner. We may also provide Partners with other personal information about you on your Bookio account to send customised offers, to validate the purchases, to aid and troubleshoot redemption, to combat fraud, as part of legal proceedings affecting Bookio and the Partner, to facilitate a direct relationship between Partners and customers, and to enable Partners to communicate electronically with customers who make purchases from the Partner;

to business partners and other advertisers as part of an offer, contest, distribution partnership, or other activity that is provided by or in conjunction with Bookio and its business partners and in which you have elected to participate. For example, if you are referred to Bookio from a business partner's website or through an invitation facilitated by or in conjunction with a Bookio business partner, Bookio may provide that business partner with contact information and transactional information;

to the public when any user of the Bookio app access your favourites page. You may, however, hide this information from the public by marking your favourites page as private;

to third parties to whom we may choose to sell, transfer, or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, then the new owners may use your personal information in the same way as set out in this policy; and

to our professional advisors

If you are a Partner

We may share some or all of your personal information, including but not limited to booking information, staff member names, Partner offerings, ratings and reviews, prices and discounts, appointment availability, and related data (collectively "Partner Information") with end users who have signed up or registered for Bookio and with Bookio business partners and affiliates with which Bookio is working:

we may feed Partner information to third party websites (excluding customer lists), which may result in Partner information appearing on a third-party website, mobile application or in search engine results; and such results may include a corresponding link to schedule an appointment;

Bookio may contact Partner employees through email to invite them to create a Bookio account with a restricted login;

we may use certain contact information to promote your goods and services through a variety of online and offline advertising and promotional media, including, but not limited to Google, Google AdWords, Facebook Ads, Twitter, e-mail distribution lists, and third-party business partners and affiliates; or

if you have participated in any joint Partner offerings or promotions with other Partners, Bookio may disclose your personal information to its Partners and/or advertisers, as part of such offer, contest, or other activity that is provided by or in conjunction with Bookio and its business partners and in which you have elected to participate.

Aggregated Data

We may use aggregated non-personally identifiable data to:

assist us to better understand how our customers are using the Services,

provide our customers with further information regarding the uses and benefits of the Services,

enhance small business productivity, including by creating useful business insights from that aggregated data and allowing you to benchmark your business’s performance against that aggregated data, and

otherwise to improve the Services.

10. Disclosures Required by Law

We are subject to the law like everyone else. We may be required to give information to legal and/or regulatory authorities if they so request, or if they have the proper authorisation such as a search warrant or court order.

We also may need to retain and disclose certain personal information about you to legal and/or regulatory authorities and to appropriate agencies to conduct anti-money laundering checks and to assist with fraud prevention. We will disclose this information as is required by law.

11. Links to Third Party Websites

This Privacy Policy applies solely to the personal information collected by Bookio and does not apply to third party websites. Bookio is not responsible for the privacy policies of third party websites. You should read the privacy policies of other websites before providing them with any personal information about you.

12. Your Rights

We want you to remain in control of your personal information. Part of this is making sure you understand your legal rights, which are as follows:

where your personal information is processed on the basis of consent, the right to withdraw that consent;

the right to confirmation as to whether or not we are holding any of your personal information and, if we are, to obtain a copy of it;

from 25 May 2018, the right to have certain information provided to you in a portable electronic format (where technically feasible);

the right to have inaccurate personal information rectified;

the right to object to your personal information being used for marketing or profiling, or on the basis of our or a third party’s legitimate interests;

the right to restrict how your personal information is used; and

the right to be forgotten, which allows you to have your personal information erased in certain circumstances (though this is not an absolute right and may not apply if we need to continue using it for a lawful reason).

Terms of Service

The following Terms of Use (this “Agreement”) govern and regulate the relationship between Bookio and Partners (as defined in the subsequent paragraph), regarding the commercial access to and use of and all affiliated websites owned and operated by Bookio including all subdomains, subdirectories, mobile sites, and mobile applications thereof (collectively, the “Bookio Website”).

In this Agreement, “you” and “Partner” refer to the business or individual using the Bookio Website. In this Agreement and for Partners located within the European Economic Area, “we” and “Bookio” refer to PurdieMedia Ltd, a company incorporated under the Registrar of Companies of Scotland.

In order to use the Bookio Website, you must agree to these Terms of Use. They contain many legal disclosures that you should read carefully, including terms that specify permissible uses of the Bookio Website. By accessing the Bookio Website, you agree that you are authorised to accept the terms set forth below on behalf of yourself and agree to these Terms of Use, our Privacy Policy, our Partner Terms and Conditions, and any additional policies made publicly available on the Bookio Website.

If you do not agree to be subject to these Terms of Use, your sole recourse is not to use the Bookio Website. By continuing to use the Bookio Website, you agree to be bound by this Agreement.

1. Description of the Bookio Website

The Bookio Website provides a calendar management application for the beauty and wellness industry. The Bookio Website allows Partners to place, accept, conclude, keep records of, and manage products and services provided to their customers (“Consumers”). The Bookio Website also provides features such as client record management, sales reports, and online bookings.

2. Availability of The Bookio Website

You acknowledge that there may be interruptions in the delivery of the Bookio Website that are beyond our control. While we use reasonable efforts to keep the Bookio Website accessible, the Bookio Website may be unavailable from time to time for any reason including, but not limited to, routine maintenance. You understand and acknowledge that due to circumstances both within and outside of our control, access to the Bookio Website may be interrupted, suspended or terminated.

Bookio retains the right at our sole discretion to deny access to the Bookio Website to any Partner or Consumer at any time and for any reason. Bookio is not required to disclose the reason for the denial of access to the Bookio Website to any of the previously mentioned parties.

3. Operation of The Bookio Website

We reserve complete and sole discretion with respect to the operation of the Bookio Website. We may, among other things:

a) make available to third parties information relating to the Bookio Website, including personal information that you have submitted on the website (subject to the limitations defined in our Privacy Policy);

b) withdraw, suspend or discontinue any functionality or feature of the Bookio Website; and

c) review uploaded files, forums, chats and user submissions and authorise restrictions on access thereto.

4. Ownership

Your access to the Bookio Website is not available for sale to any third party. The content and information available on the Bookio Website, as well as the infrastructure used by the Bookio Website, and all materials therein or transferred thereby and all intellectual property rights related thereto, are the exclusive property of Bookio. Except as explicitly provided herein, nothing in these Terms of Use shall be deemed to create a license in or under any such intellectual property rights and you agree not to modify, adapt, edit, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or resell any information, software, products or services obtained from or through the Bookio Website.

5. Bookio Code of Conduct

All interactions with the Bookio Website must be lawful and must comply with these Terms of Use. To the extent your conduct (as judged by us in our sole discretion), restricts or inhibits any other user from using or enjoying any part of the Bookio Website, we may limit your access to the Bookio Website and seek further remedies. Please do not engage in the following activities, as they are prohibited on the Bookio Website and constitute express violations of the Agreement:

Submitting any inaccurate information, committing fraud or falsifying information in connection with your account on the Bookio Website;

Attempting to, or actually accessing data not intended for you, such as logging into a server or an account which you are not authorised to access;

Attempting to scan, or test the security or configuration of the Bookio Website or to breach security or authentication measures without proper authorisation;

Tampering or interfering with the proper functioning of any part, page or area of the Bookio Website;

Attempting to interfere with service to any user in any manner, including, but not limited to, any means of submitting a virus to the Bookio Website, or attempts at overloading, "flooding", "spamming", "mail bombing" or "crashing" the Bookio Website;

Disseminating or transmitting material that, to a reasonable person, may be considered abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening or malicious;

Disseminating, storing or transmitting files, graphics, software or other material that actually or potentially infringes the copyright, trademark, patent, trade secret or other intellectual property right of any third party;

Using the Bookio Website or any of its contents to advertise or solicit, for any other commercial, political or religious purpose, or to compete, directly or indirectly with the Bookio Website;

Reselling or repurposing your access to the Bookio Website;

Using the Bookio Website or any of its resources to solicit Consumers, Partners, or other business partners of Bookio to become users or partners of other online or offline services directly or indirectly competitive or potentially competitive with Bookio;

Using any Bookio account to sell vouchers for speculative, false, fraudulent or any other purpose that is not expressly permitted by these Terms of Use and the terms of a specific offer on the Bookio Website;

Accessing, monitoring or copying any content or information from Bookio Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;

Violating the restrictions in any robot exclusion headers or bypassing or circumventing other measures employed to prevent or limit access to the Bookio Website;

Taking any action that places excessive demand on the Bookio Website, or imposes, or may impose an unreasonable or disproportionately large load on our servers or other portion of our infrastructure (as determined in our sole discretion);

Aggregating any live or post-feature content or other information from Bookio Website with material from other sources or on a secondary website or medium without our express written permission;

Acting illegally or maliciously against the business interests or reputation of the Bookio Website;

Hyperlinking to the Bookio Website from any other website without our initial and ongoing consent; or

Engaging in any other activity deemed by us to be in conflict with the spirit or intent of these Terms of Use.

6. Bookio Account

6.1 Creating a Bookio Account

Once you create an account for the Bookio Website, you may only create and hold one (1) account that you are solely responsible for managing. Your account is non-transferrable and may not be sold, combined or otherwise shared with any other Partner or Consumer. If you violate any of these limitations, we may terminate your account. If we terminate your account, you may not re-enroll or join under a new account unless if we formally invite you to do so. If you commit fraud or falsify information in connection with your use of the Bookio Website or in connection with your account on the Bookio Website, your account will be terminated immediately and we reserve the right to hold you liable for any and all damages caused by your conduct, to pursue legal action through relevant local and national law enforcement authorities and to notify your Internet Service Provider of any fraudulent activity we associate with you or your use of the Bookio Website.

6.2 Account Communications

By creating a Bookio account, you expressly consent and agree to accept and receive communications from us, including but not limited to, via e-mail, calls, and push notifications to the cellular telephone number and/or email address you provided us with. Additionally, by consenting to being contacted by Bookio, you understand and agree that you may receive notifications sent by Bookio, including but not limited to: communications concerning your Bookio account or updates concerning new and existing features, and news concerning Bookio and industry developments.

By creating a Bookio account, you expressly consent and agree to give Bookio permission to send communications on your behalf to Consumers, including via e-mail, text message, calls, and push notifications to the cellular telephone number and/or email address of those Consumers. These setting can be configured and/or disabled by you on the Bookio Website. By consenting to providing Bookio with the permission to contact Consumers on your behalf, you understand and agree that your Consumers may receive automated SMS or MMS messages or communications generated by automatic telephone dialing systems and/or communications containing prerecorded messages. 7. Intellectual Property

7.1 Ownership

a) Everything located on or in the Bookio Website is the exclusive property of Bookio or is being used with permission. Any copying, distributing, transmitting, posting, linking, deep linking, or otherwise modifying of the Bookio Website without the express written permission of Bookio is prohibited. Any violation of this requirement may result in a copyright, trademark or other intellectual property right infringement that may subject you to civil and/or criminal penalties.

b) The Bookio Website contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire contents of the Bookio Website are protected by copyright as a collective work under the copyright laws. Bookio owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. You may download, print, and/or save copyrighted material for your personal use only. Except as otherwise expressly stated under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express written permission of Bookio or the copyright owner is permitted. If copying, redistribution or publication of copyrighted material is permitted, you will make independent attribution and/or agree to make no changes in or deletion of any author attribution, trademark legend or copyright notice. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material from the Bookio Website.

c) “Bookio” is a trademark owned by Bookio. This trademark, together with other trademarks that are located within or on the Bookio Website otherwise owned or operated in conjunction with Bookio shall not be deemed to be in the public domain but rather the exclusive property of Bookio, unless such mark is under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use of Bookio unless otherwise stated.

d) You will not upload, post or otherwise make available on the Bookio Website any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. Bookio does not have any express burden or responsibility to provide you with indications, markings or anything else that may aid you in determining whether the material in question is copyrighted or trademarked. You will be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights or any other harm resulting from such a submission. By submitting material to any public area of the Bookio Website you warrant that the owner of such material has expressly granted Bookio the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. You also permit any other Consumer to access, view, store or reproduce such material from any public area of the Bookio Website for that Consumer’s personal use. You also grant Bookio the right to edit, copy, publish and distribute any material that you make available on the Bookio Website.

7.2 Copyright Policy

Bookio reserves the right to terminate its agreement with you or any other Partner or Consumer who infringes third-party copyrights. If you believe that any material has been posted via Bookio Website in a way that constitutes copyright infringement, you shall provide Bookio with the following information: (a) an electronic or physical signature of the person authorised to act on behalf of the owner of the copyrighted work; (b) an identification of the copyrighted work and the location on the Bookio Website of the allegedly infringing work; (c) a written statement that you have a good faith belief that the disputed use is not authorised by the owner, its agent, or the law; (d) your name and contact information, including telephone number and e-mail address; and (e) a statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorised to act on the copyright owner's behalf. (e) Contact information for notice of claims of copyright infringement is IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS' FEES.

Please note that this procedure is exclusively for notifying Bookio and its affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with Bookio’s rights and obligations, but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations.

Bookio has adopted a policy of terminating, in appropriate circumstances, Partners or Consumers who are deemed to be repeat infringers. Bookio may also at its sole discretion limit access to the Bookio Website and/or terminate the accounts of any Partners or Consumers who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

8. Disclaimer of Warranty

8.1 Interpretation

You expressly agree that the use of the Bookio Website is at your own risk. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE Bookio WEBSITE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON- INFRINGEMENT. Without limiting the foregoing, neither Bookio, its subsidiaries, affiliates or any of their respective staff members, agents, partners, third-party content providers or licensors, or any of their officers, directors, staff members or agents, warrant that use of the Bookio Website will be uninterrupted or error free; nor do they make any warranty as to (a) the results that may be obtained from use of the Bookio Website, or (b) the accuracy, reliability or content of any information provided on the Bookio Website. The Bookio Website is made accessible on an "as is" and "as available" basis. Bookio hereby disclaims any representations, warranties and conditions, whether express or implied, including those to title non-infringement, merchantability, and fitness for a particular purpose.


8.2 No Implicit Warranties

The information presented or contained in the Bookio Website is presented for informational purposes only. No information, whether oral or written, obtained by a Consumer from a Partner, a Partner from a Consumer, or from the Bookio Website will create any warranty not expressly stated in this agreement.

9. Partner and Consumer Communication

Bookio in some instances allows Partners and Consumers to use the Bookio Website to express opinions and communicate with other Partners or Consumers through forums, bulletin boards, discussion groups, chat rooms, reviews, or other communication facilities that may be offered on or through the Bookio Website from time to time (collectively "Communities"). Bookio shall have the right, but not the obligation, to monitor the content within the Communities at any time, for any reason, including to determine compliance with this Agreement and any operating rules established by Bookio, as well as to satisfy any applicable law, regulation or authorised government request. Without limiting the foregoing, Bookio shall have the right, but not the obligation, to remove any material from the Communities that Bookio, in its sole discretion, finds to be in violation of this Agreement or otherwise objectionable. Any opinions, advice, ratings, discussions, comments, and/or other messages or postings of any kind made by you to the Communities (collectively, "Statements"), are those of the respective author(s) or distributor(s) and not of Bookio.

10. Websites of Others

The Bookio Website may contain links to websites maintained by third parties. These links are provided solely as a convenience to you and not because we endorse or have an opinion about the contents on such websites. We expressly disclaim any representations regarding the content or accuracy of materials on such websites or the privacy practices of those websites. Bookio also takes no responsibility nor liability for the content presented on those websites. If you decide to access websites maintained by other parties, you do so at your own risk and you understand that this Agreement and our Privacy Policy do not apply to your use of such websites or links.

11. Public Nature of Your Statements

You understand and agree that all Statements, any comments or reviews you post on the Bookio Website, and any information contained in your Partner information profile are public and not private. Any other person (whether or not a user of the Bookio Website) may read your Statements without your knowledge. Please do not include any Personal Information (as defined in our Privacy Policy or otherwise) in your Statements. Bookio does not control or endorse any Statement found in any part of the Communities, and we specifically disclaim any liability concerning the Statements and the Communities and any actions resulting from your participation in any part of the Communities, including any objectionable content. Any Statements you post in connection with the Bookio Website are not confidential. By placing any information or other material in Communities (including but not limited to posting messages, uploading files, inputting data or engaging in any other form of communication), you automatically grant (or warrant that the owner of such content has expressly granted) to Bookio a perpetual, royalty-free, non-exclusive, irrevocable, unrestricted, worldwide license to use, copy, sublicense, reproduce, distribute, redistribute, modify, adapt, publish, edit, translate, transmit, create derivative works of, publish and/or broadcast, publicly perform or display any materials or other information (including without limitation, ideas contained therein for new or improved products or services) you submit to the Communities alone or as part of other works in any form, media, or technology whether by any means and in any media now known or hereafter developed and to sublicense such rights through multiple tiers of sub-licenses.

12. Feedback

You may choose to or we may invite you to submit comments or ideas about the Bookio Website, including but not limited to, how to improve the Bookio Website or other products ("Idea(s)"). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place Bookio under any fiduciary or other obligation to you, and that we are free to use or publish the Idea without any compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by reviewing or accepting your submission, Bookio does not waive any rights to use similar or related ideas previously known to Bookio, or developed by its staff members, or obtained from sources other than you.

13. License for Statements

By posting Statements or other information on or through the Communities or in connection with the Bookio Website, you grant Bookio a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display the Statements alone or as part of other works in any form, media, or technology whether now known or hereafter developed without territorial or time limitations, and to sublicense such rights through multiple tiers of sublicensees. Your license of any Statements or information submitted above extends to use for promotions, advertising, market research or any other lawful purpose, without limitation.

14. Indemnity

You agree to defend, indemnify and hold harmless Bookio and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their staff members, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising out of or related to:

(i) Your use of and access to the Bookio Website, including any data or content transmitted or received by you;

(ii) Your violation of any term of this Agreement, including without limitation your breach of any of the representations and warranties above, or representation or warranty;

(iii) Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights;

(iv) Your violation of any applicable law, rule or regulation;

(v) User content or any other information or content that is submitted via Your account including, but not limited to, false or inaccurate information;

(vi) negligent or wilful misconduct; or

(vii) any other party's access and use of the Bookio Website with Your unique username, password or other appropriate security code.

15. Termination

Bookio may terminate or update these Terms of Use at any time, or suspend access to the Bookio Website immediately, without prior notice or liability, if you breach any terms of these Terms of Use or for any other reason. Without limiting the foregoing, Bookio shall have the right to immediately terminate or suspend any of your passwords or accounts in the event Bookio considers, in its sole discretion, any of your conduct to be unacceptable, or in the event you breach this Agreement. Notwithstanding the above, these Terms of Use will survive termination of this Agreement.

16. Choice of Law

Any disputes arising out of or related to these Terms of Use and/or any use by you of the Bookio Website shall be governed by the laws of Scotland without regard to its choice of law rules and without regard to conflicts of laws principles.

17. Additional Disclosures

No waiver by either you or Bookio of any breach or default or failure to exercise any right allowed under this Agreement is a waiver of any preceding or subsequent breach or default or a waiver or forfeiture of any similar or future rights under our Agreement. The section headings used herein are for convenience only and shall be of no legal force or effect.

The provisions of these Terms of Use apply equally to and are for the benefit of Bookio, its subsidiaries, affiliates, Partners and its third-party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.

18. Miscellaneous

a) Reservation of Rights. The failure of either party to exercise in any respect any right provided in these Terms of Use will not be deemed a waiver of such rights.

b) Sever-ability. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

c) Assignability. These Terms of Use, and any rights and licenses granted hereunder, are not assignable, transferable or sub-licensable by you except with Bookio’s prior written consent, but may be assigned by Bookio without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

d) Merger. Both parties agree that these Terms of Use, along with our Privacy Policy, Partner Agreement and any other legal notices published by Bookio on the Bookio Website, are the complete and exclusive statements of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter hereof, and that all modifications must be in a writing signed by Bookio, except as otherwise provided herein.

e) Independent Contractors. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind Bookio in any respect whatsoever.

Causes of Action. Any cause of action or claim you may have with respect to Bookio must be commenced within one (1) year after the claim or cause of action arises. If any action in law or in equity is necessary to enforce the terms of this Agreement, and our Privacy Policy, the prevailing party will be entitled to reasonable fees of attorneys, accountants, and other professionals, and costs and expenses in addition to any other relief to which such prevailing party may be entitled.
